金融庁が次々と業務停止命令を下しています。アイフルに続いて、中央青山監査法人も一部業務停止命令の対象となりました。金融庁もwatchdogとしての機能を強めるべく意気盛んですね。企業の内部管理体制監視の本場米国では、ところが、監視体制緩和の動きが出始めているという記事を”Economist"April22－28号で発見しました。
New York Stock Exchangeで上場することは、世界中の企業にとってblue-chip statusの証として大変名誉あることです。
NASDAQも次なるMicrosoftを目指す世界の新興企業にとっての登竜門でした。
For younger firms, a NASDAQ listing was a crucial step on the way to becoming (注、becomeではありません) the next Microsoft.
Today, however, foreign listings have become a rarity (まれ、珍奇）, especially on NASDAQ. Even some of America's home-grown would-be Microsofts now list not in New York, but overseas, especially on London's Alternative Investment Market. (would-be NASDAQのwould-beの使われ方は、would-be チョイ不良親父と同じ意味です。～気取り、～志望、～のつもり）
それにしても、New Yorkでの上場が避けられ、Londonなどでの上場が増えているのは何故でしょうか？
そこで、今日の表現が出てきます。 pin+the blame+SOX、SOX法に責任を負わせる・・、pinはputやlayでも言い換えられます。またhold+SOX+responsible for ～とも言い替えができます。責任を負わせる意味では、pass the buck to SOXとも言えますが、これは責任転嫁（逃れ）の意味が強く出ます。
It used to be taken for granted in the United States that the country's stockmarkets were the best-regulated in the world, and that their attraction to overseas was proof of the fact. (It used to be taken for granted that S+V →かってはthat S+Vは当然のことと思われていたという定型表現です。）
So what does it mean that many of those firms now opting to list elsewhere pin much of the blame on the burden of America's corporate regulations-above all the Sarbanes-Oxley act (SOX) passed by Congress in 2002 after the scandalous collapse of Enron and WorldCom. (ちょっと長いですが、many of those firms now opting to list elsewhere までが主語で、pinが動詞です。）
何が問題なのでしょうか？SOXの大規模な（thorough） reformはすぐには無理そうですが、一部改変しようとする動きの中にその答えがあります。
The priority is to modify the most hated part of SOX, the 20 lines of text called Section 404, which regulates the internal controls used by firms in their financial reporting and extends scrutinizing to such minutiae (取るに足らない細かいもの）as travel expenses and petty cash. The cost of implementing Section 404 has been far higher than expected, especially in smaller firms.
たしかに、新興企業にとっては、少しでも多くの資金を商品開発に向けたいところでしょう。内部統制充実のための、内部監査、監査役、会計監査法人の利用等への規制強化は、企業にとっては費用増大の足枷となります。こうした負担は、費用ではなく投資だという主張をしておられる方もいらっしゃいますが、ベンチャー企業にとっては、離陸前に負担過多で浮上できず軌道に乗れないリスクの大きさばかりが目に付くのではないでしょうか？
